JPMorgan: The potential obstacles to a merger between Tesla and SpaceX have been underestimated

JPMorgan analyst Rajat Gupta said that although the merger of Tesla and SpaceX “makes sense on paper,” current market speculation about their combination has underestimated potential obstacles that could hinder the deal from being completed. The combination would allow CEO Elon Musk to “unify the vision, mission, and engineering leadership across the two platforms,” and the companies’ shared AI ambitions are a “potential strategic adhesive.” However, possible hurdles include: regulatory approvals across multiple jurisdictions (especially in China), issues around corporate governance and voting rights symmetry, and “the outside world may view it as an acquisition led by SpaceX, rather than an equal merger of two companies.”
