Zhipu: Recommend A-shares issuance and listing on the STAR Market

On the evening of June 1, Zhipu announced on the Hong Kong Stock Exchange that, at the board meeting to be held on June 1, 2026, the company proposed to apply to the relevant Chinese regulatory authorities for the allocation and issuance of A shares, and to apply to the Shanghai Stock Exchange for the listing of such A shares on the STAR Market and for permission for them to be traded. The proposed number of A shares to be issued would be between 2% and 8% of the company’s total share capital after the completion of the proposed A-share issuance (excluding any A shares to be issued as a result of the exercise of an over-allotment option), namely no fewer than 9.0988 million shares and no more than 38.769 million shares of new A shares. The board meeting also approved other additional resolutions relating to the proposed A-share issuance, and these will be submitted to shareholders for approval at the annual general meeting.
