Just caught up on something interesting happening in the travel tech space. Sabre just adopted a one-year shareholder rights plan, and the backstory here is worth paying attention to.



So here's what went down: Constellation Software, the serial acquirer that's been quietly building positions in various software companies, accumulated a 9.7% stake in Sabre between April and November last year. We're talking 4.7% direct ownership plus another 5% through derivatives. They didn't disclose this until early January 2026, which is when things started getting interesting.

Constellation's been pretty strategic about this. They've got Vela Software as their operating group focused on travel tech, and they've already picked up several companies in that sector. So when they showed up at Sabre's door in January asking for two board seats, it seemed like they were positioning for something bigger. They even hinted that their Sabre investment could eventually look like their 24.8% stake in Asseco Poland.

What caught my attention though is how quickly things fell apart. Sabre was actually working with them on a governance agreement—they were close to getting Vela's CEO on the board. But then in late February, Constellation just ghosted them. Literally broke off negotiations on February 26 without any real explanation, just said their intentions would "become clear with time." Sabre tried reaching out again, but radio silence.

Then on February 28, Constellation withdrew one of their board nominees. Still no explanation.

The timing's suspicious too. During that same week in late February, Sabre's stock saw unusually high trading volume. Make of that what you will.

Now here's the thing: the Rights Plan itself isn't a response to any acquisition proposal from Constellation or anyone else. It's just a standard defensive measure with a one-year window. But the whole situation raises questions about what Constellation's really thinking. Are they planning a hostile move? Are they just taking a long position and waiting? The market's definitely watching this one closely.
