SpaceX warns in the prospectus that the space AI data center may not be commercially viable.

According to Beating Monitoring, the SpaceX S-1 draft prospectus shows that the company has issued a warning to investors that its orbital construction AI data center and interstellar industrialization plans are in the early stages, involving significant technical complexities and unproven technologies, which may not achieve commercial viability.

The document states that future orbital data centers will operate in harsh and unpredictable space environments, facing unique and extensive risks that could lead to equipment failures or complete breakdowns. Additionally, the prospectus emphasizes a heavy reliance on the next-generation Starship rocket, noting that any failures or delays in scaling up development, launch cadence, or reusability of Starship will hinder the company’s growth strategy.

As a statutory document intended to disclose risks to investors and avoid legal liability, the prospectus presents a more cautious internal outlook than external visions. CEO Elon Musk publicly called the space AI data center “a matter of course” in January this year, and in February stated that space AI is “the only way to scale.”
