Announcement on the Completion of the Deregistration of a Wholly Owned Subsidiary

I. Basic Overview of the Deregistration of the Wholly Owned Subsidiary

Shanghai Beite Technology Group Co., Ltd. (hereinafter referred to as the “Company”) convened the second meeting of the sixth session of its board of directors on December 9, 2025, which considered and approved the “Proposal on Deregistering a Wholly Owned Subsidiary,” agreeing to deregister Shanghai Beite Automotive Components Co., Ltd. (hereinafter referred to as “Beite Automotive Components”), and authorized the Company’s management to handle the related matters for this deregistration. For details, please refer to the “Beite Technology Announcement on Deregistering a Wholly Owned Subsidiary” (Announcement No.: 2025-062) disclosed by the Company on December 10, 2025, on the designated information disclosure website, the Shanghai Stock Exchange website (www.sse.com.cn).

II. Deregistration Progress

Recently, the Company received a “Notice of Registration” issued by the Shanghai Municipal Administration for Market Regulation of Jiading District, approving the deregistration of Shanghai Beite Automotive Components Co., Ltd.

III. Impact on the Company

After completion of this deregistration, the scope of the Company’s consolidated financial statements will correspondingly change. Beite Automotive Components will no longer be included in the scope of the Company’s consolidated financial statements, but this will not have a material impact on the Company’s consolidated financial statement data, nor will it affect the Company’s overall business development and profitability. There is no circumstance that harms the interests of the Company and all shareholders, especially the interests of minority shareholders.
