A survey firm data  Yunnan Baiyao Group Co., Ltd. recently disclosed the 2025 annual duty report of independent director Na Chaohong. The report shows that after the company’s 11th session of the board of directors was renewed on November 10, 2025, Na Chaohong was elected as an independent director. During his approximately two-month tenure, he strictly complied with relevant laws, regulations, and the company’s articles of association, and actively fulfilled the duties of an independent director.

During his term of office, Na Chaohong attended all 2 meetings of the board of directors and the 1 shareholders’ meeting held during his tenure, and cast approval votes for all proposals. As the chair of the audit committee of the board of directors and a member of the nomination committee, he presided over and participated in multiple meetings of special committees, deliberating on several key proposals including the annual report audit plan, the appointment of senior management, and expected daily related-party transactions. At the same time, as a member of the independent directors’ special meeting, he independently reviewed relevant matters.

The report states that Na Chaohong, through attending meetings on-site, conducting on-site inspections of the toothpaste smart factory and the pharmaceutical production lines, and using various communication methods, gained a deep understanding of the company’s operating conditions. He emphasized that during his fulfillment of duties, the company provided full support and coordination, ensuring the effective performance of the independent director’s responsibilities. With regard to protecting investors’ rights and interests, Na Chaohong said that he strives to safeguard the company and all shareholders—especially the lawful rights and interests of minority shareholders—by exercising voting rights prudently, supervising information disclosure, assessing major matters, and other approaches.

In the report, Na Chaohong conducted an independence self-check and confirmed that his appointment complies with relevant requirements and that there are no circumstances that would affect his independence. Looking ahead to 2026, he pledges to continue to be diligent and conscientious, play a supervisory and advisory role, promote improvements to the company’s governance structure, and help Yunnan Baiyao achieve sound and steady development.
