The board of directors of China Minmetals Corporation Ltd. (the “Company,” or “our Company,” as referred to below) and all directors hereby warrant that the contents of this announcement contain no false records, misleading statements, or material omissions, and assume legal responsibility for the truthfulness, accuracy, and completeness of its contents.

Recently, the board of directors of our Company received a written resignation report from Mr. Zeng Jianzhong, Vice President. Mr. Zeng Jianzhong, due to having reached the statutory retirement age, resigned from his position as Vice President of our Company. After his resignation, Mr. Zeng Jianzhong will no longer hold any position at our Company. In accordance with relevant regulations, Mr. Zeng Jianzhong’s resignation report shall become effective as of the date it is delivered to the board of directors of our Company. The resignation report states that during his term of office, there were no disagreements between Mr. Zeng Jianzhong and the management of our Company.

During his tenure, Mr. Zeng Jianzhong performed his duties with diligence and responsibility. The board of directors of the Company sincerely thanks Mr. Zeng Jianzhong for his contributions to the Company.
