Jinke Smart Agriculture: Plans to invest 650 million yuan to increase capital and acquire control of Jiangsu Huibo

People’s Finance News, March 31. On March 31, Jingerun Agriculture (000048) issued an announcement stating that the company plans to obtain control of Jiangsu Huibo Robot Technology Co., Ltd. (hereinafter “Jiangsu Huibo”) in total by increasing capital, signing a concerted action agreement, and so on, and include it in the scope of consolidated financial statements. The company will invest RMB 650 million to increase capital and expand equity in Jiangsu Huibo. After friendly consultations among the parties, they reached agreement on this transaction and signed relevant agreement documents including the “Capital Increase Agreement” and the “Concerted Action Agreement.” Jiangsu Huibo commits that during the 2026 to 2028 fiscal years (hereinafter the “performance commitment period”), its audited consolidated revenue for each year will be no less than RMB 430 million, RMB 560 million, and RMB 730 million, respectively (each year’s committed revenue is referred to as that year’s “committed revenue”). Jiangsu Huibo is a company focused on the R&D and industrialization of key technologies in robotics, intelligent manufacturing, and artificial intelligence. At present, Jiangsu Huibo’s core technologies include robotic core components (the integrated joint has performance advantages such as high torque density, strong impact resistance, high precision, and water- and dust-proofing, and has been widely applied across the company’s entire robot product line), a domestically produced robot operating system (leading the national key research and development program), and artificial intelligence (machine vision, multimodal sensing, intelligent control, etc.). It provides intelligent equipment, technology, and solution services to leading customers in sectors such as universities and colleges, the energy industry, and intelligent manufacturing. Its main products include new energy operation and maintenance robots, products for higher-education institutions, intelligent manufacturing plants, and so on.
