Energy-saving Wind Power: Company Director, General Manager, and Nomination Committee Member Yang Zhongxu Resigns

On March 25, China Energy Conservation and Environmental Protection Wind Power Co., Ltd. (hereinafter referred to as the “Company”) issued an announcement stating that the board of directors recently received a resignation letter from Mr. Yang Zhongxu, a director of the Company, general manager, and a member of the nomination committee of the board of directors.

According to the announcement, Mr. Yang Zhongxu has applied to resign from his positions as a director, general manager, and a member of the nomination committee of the board of directors due to work reassignment. After his resignation, he will not hold any other positions in the Company.

The announcement further stated that, in accordance with the Company Law, the Shanghai Stock Exchange’s Self-Regulatory Guidance No. 1—Standardized Operation, the Articles of Association, and relevant provisions, Mr. Yang Zhongxu’s resignation letter shall take effect as of the date it is delivered to the board of directors of the Company. Mr. Yang Zhongxu’s resignation will not result in the number of members of the Company’s board of directors falling below the statutory minimum, and will not affect the normal operation of the board of directors. The Company’s board of directors will subsequently, in accordance with relevant statutory procedures, elect a new director.
