Formation of the Five Specialized Committees
The Board of Directors reviewed and approved the “Proposal on Adjusting the Composition of the Specialized Committees of the 10th Board of Directors of China Pacific Insurance (Group) Co., Ltd.”
Specifically, the Strategy, Investment, and ESG Committee is led by Executive Director Fu Fan as Chair. Other members include Jin Hongyi, Huang Dinan, Lu Qiaoling, and John Robert Dacey.
The Audit and Related-Party Transaction Control Committee is chaired by Independent Non-Executive Director Lin Tingyi. Other members include Wang Yuhua, Chen Xin, Luo Wanwen, Zhou Donghui, and Huang Xianrong.
The Nomination and Remuneration Committee is chaired by Independent Non-Executive Director Chen Xin. Other members include Wang Tayu, Jin Hongyi, Zhou Liyun, and Huang Xianrong.
The Risk and Compliance Committee is chaired by Executive Director Zhao Yonggang. Other members include Wang Tayu, Wang Yuhua, Lin Tingyi, and Luo Wanwen.
The Technology Innovation and Consumer Rights Protection Committee is chaired by Non-Executive Director Chen Ran. Other members include Zhou Donghui, Zhao Yonggang, and Huang Xianrong.
The employment of Employee Director Zhou Liyun is subject to regulatory approval before taking effect.
Approval of Multiple Institutional Revisions
In addition to announcing the personnel list, the Board also reviewed and approved several institutional revision proposals.
These include amendments to the working systems of the Strategy and Investment, ESG, Audit and Related-Party Transaction Control, Nomination and Remuneration, Risk and Compliance, Technology Innovation and Consumer Rights Protection Committees, as well as the Independent Director Work System and the Performance Evaluation and Accountability Measures for Directors.
Furthermore, the meeting approved the 2024 performance evaluation results for professional managers of China Pacific Insurance (Group).
Clearly, the resolutions passed by the Board are numerous and significant, reflecting the company’s proactive approach and energetic work attitude.
Chen Wei Appointed as Chief Compliance Officer
In addition to announcing the committee members, the meeting also finalized an important senior management appointment.
The Board agreed to appoint Chen Wei as the company’s Chief Compliance Officer, with the term lasting until the current Board’s term ends. Chen Wei will no longer serve as the company’s Compliance Head.
According to his resume, Chen Wei was born in April 1967 and is a seasoned veteran in the insurance industry. He holds a master’s degree, senior economist and engineer titles, and is a member of the Chartered Insurance Institute (ACII) in the UK.
He has served as the Chief Representative of China Pacific Insurance’s London Office, Director and General Manager of Pacific Insurance Hong Kong, Board Secretary and General Manager of Strategic Planning Department, Audit Director, Audit Responsible Person, Chief Auditor, and Administrative Director of the company, Board Secretary of Pacific Life Insurance, Chairman of Pacific Asset Supervision, General Manager and Director of Pacific Health Insurance, among other roles. Currently, he is the Head of Compliance and Chief Risk Officer of China Pacific Insurance, Director of Pacific Property & Casualty, and Director of Pacific Asset.
