SEC Clarifies Crypto Token Classification - Five Bucket Framework Is Here

On March 17 2026, SEC and CFTC released a 68 page joint interpretation that finally sorts crypto assets into a clear taxonomy and tells when federal securities laws apply. Press release 2026-30 marked the shift. Rule took effect March 23 2026.

Five Buckets - What SEC Said

Interpretation creates five categories based on traits, use and function:
1. Digital commodities - like Bitcoin style assets with decentralized supply, used as value or fuel. Not a security.
2. Digital collectibles - art, profile pics, game items where value comes from scarcity and culture. Not a security.
3. Digital tools - utility tokens that unlock access, pay for compute, storage or other service. Not a security when tied to live use.
4. Payment stablecoins - dollar pegged tokens used for payments. Not a security.
5. Digital securities - tokens that are investment contracts, tokenized shares, or promise profit from efforts of others. This is the only bucket that is a security outright.
Three of five are flatly excluded from securities treatment, one is conditionally excluded, one is included. That line is key for builders.

Why This Matters

Before, market lived under Howey test guesswork. Now SEC Chairman Paul Atkins via Project Crypto and CFTC Chairman Michael Selig give asset level guidance. If your token is a tool with live utility, or a collectible, or a commodity, or a payment stablecoin, you are outside securities rules. If it is a digital security, full SEC oversight applies.

FAQs Add Detail - Sep 25 Update

Staff of Division of Corporation Finance issued FAQs on Sep 25 clarifying how to use framework. Example: staking receipt tokens may qualify as digital tools or digital commodities depending on how they are issued. FAQs give a narrow three part test for what counts as receipt, helping liquid staking design.

What Changes For Teams
• For commodity teams: focus on decentralization and use, not on promises of profit.
• For tool teams: ship working product before token, tie token to access, not to passive yield.
• For stablecoin teams: keep peg, reserves and payment use clear, avoid profit share language.
• For security tokens: register or use safe harbor, give full disclosure, follow broker dealer rules.
What Changes For Traders

Risk premium falls for buckets 1 to 4. Exchanges can list those assets with more confidence. For bucket 5, expect more disclosure and more regulated venues.

Market read: 306 S&P 500 firms cited AI term in Q3, but in crypto, most assets now have a path to be seen as non securities if they show real use. That could unlock more institutional flow.

In short, SEC finally gave a map: five buckets, only one is security, rest have clear path outside securities law if built right.
