IPO: When a Private Company Opens Its Doors to the World

Boss, right now the world is buzzing about a fairly rare market event—an Initial Public Offering (IPO). Simply put, this is the process where a company previously owned by only a small group of people, for the first time offers its shares to the general public.

🍃 Why Does a Company Go Public?

As taught by Mbah Joyo, every big step begins with a goal. The same goes for an IPO. There are several reasons why a company chooses to "go public":

1. Raising Large Capital: This is the main reason. By selling shares to the public, the company can obtain a huge amount of fresh funds, which can be used for expansion, research, or paying off debt.
2. Giving Opportunity to Early Investors: For founders and early investors (such as venture capitalists), the IPO is a long-awaited moment. It's a way for them to sell part of their ownership and reap the rewards of their years of investment.
3. Increasing Name and Credibility: Becoming a public company often raises the company's profile in the eyes of the public and business partners, which can open up new opportunities.

🌌 The Long Process Behind the Scenes

Boss, the journey to an IPO is not short. The process can take six to nine months or even longer, and involves very thorough preparation.

· Choosing an Underwriter: The company usually works with investment banks like Goldman Sachs or Morgan Stanley to guide the IPO process. They help determine the stock price, create documents, and market the shares to large investors.
· Documents and Disclosure: The company must prepare and file an S-1 Registration Statement with the regulator (in the US, the SEC). This document contains very detailed information about the business, financial condition, risks, and their future plans.
· "Roadshow": Before the final price is set, the company's executives will tour major cities to present their vision to institutional investors. This is a crucial moment to gauge market interest and demand.
· Pricing and First Day of Trading: Based on all inputs, the final IPO price is set. The next day, the company's shares begin trading on an exchange like NASDAQ or NYSE. This is the long-awaited important moment.

🔍 A Question to Ponder

Boss, among the many IPOs that occur, why do some of them become big topics of discussion? Most of these projects may not survive long, but some carry a narrative strong enough to attract the attention of many. That is what we will see on another occasion.
