Strategy's STRC Is Back Near $100. The Next Chapter Could Be Important for Bitcoin.
Something interesting is happening in Strategy's financing structure, and I think the latest recovery in STRC deserves more attention than just another preferred-stock price movement.
Strategy's STRC perpetual preferred stock recently climbed to $99.95, just five cents below its $100 stated value. This is its closest approach to par in more than 165 days. At first glance, that might look like a small recovery, but financially, it could have much bigger implications for Strategy's Bitcoin accumulation strategy.
To understand why, we need to understand what STRC actually does.
Why the $100 level matters
STRC, also known as Stretch, is Strategy's variable-rate perpetual preferred stock. Unlike ordinary MSTR shares, it is designed to provide investors with cash dividends rather than direct participation in the company's common-stock upside.
Its stated value is $100 per share, and its annualized dividend rate currently stands at 12%, payable in cash. Strategy adjusts the dividend rate monthly to encourage trading around the $100 level.
At a 12% annualized rate, the dividend represents approximately $12 per year for each $100 stated-value share, subject to the company's dividend declaration.
The important point is that Strategy wants STRC to trade close to its stated value. When the security trades below par, issuing new shares at a discount becomes less attractive because the company would be raising less capital relative to the stated amount while still carrying the associated dividend obligations.
When STRC approaches or trades around $100, the financing economics become more favorable.
Why STRC struggled and how Strategy supported its recovery
The recovery did not happen without significant intervention.
Earlier in 2026, STRC experienced considerable selling pressure and traded substantially below its $100 stated value. Strategy responded by using its preferred-stock repurchase program to support the security.
According to its October 29 financial results, Strategy repurchased approximately 20.98 million STRC shares for around $2.04 billion, at an average price of $97.39.
This is a major capital-allocation decision. Instead of simply allowing the preferred stock to remain under pressure, Strategy used its balance sheet to purchase outstanding shares and strengthen confidence in its digital-credit structure.
The company also maintained STRC's annualized dividend rate at 12%.
Another important development was the shareholder approval of daily dividend accruals. STRC is scheduled to move to daily dividends beginning November 1, 2026.
This makes the instrument more flexible from an investor's perspective because dividends can accrue every calendar day rather than being tied to the previous semi-monthly structure.
Together, these measures helped STRC recover toward its $100 stated value.
Could this give Strategy more money to buy Bitcoin?
This is where the story becomes particularly interesting.
Strategy has built its business model around raising capital through different financial instruments and using that capital to expand its Bitcoin treasury.
When demand for STRC improves, the company potentially gains another financing channel.
If STRC can sustain trading around or above $100, Strategy may find it more attractive to issue additional preferred shares through its at-the-market program.
The proceeds could potentially support future Bitcoin purchases, depending on the company's capital-allocation decisions and market conditions.
However, there is an important distinction: STRC reaching $99.95 does not automatically mean Strategy has restarted issuing it to purchase Bitcoin. The latest reports indicate that the company has not announced such a restart.
The recovery creates an opportunity, not a confirmed purchase program.
Strategy's Bitcoin position makes this development even more important
As of October 25, 2026, Strategy reported holdings of approximately 848,517 BTC, representing a 26% increase year to date.
The company also reported approximately $14.33 billion in Bitcoin purchases during 2026.
But its capital strategy has become more complicated.
Strategy is not simply issuing securities and buying Bitcoin. It must also manage preferred dividends, debt interest, liquidity reserves and the cost of maintaining investor confidence.
Its October 29 results showed approximately $5.07 billion in USD assets, including its USD reserve and cash, providing around 3.4 years of coverage for preferred-stock dividends and interest obligations under its reported calculations.
That reserve is important because it gives the company more flexibility to meet financial commitments without immediately needing to sell Bitcoin.
Strategy also reported $1.48 billion in cumulative dividends paid across its preferred securities.
This shows how important the digital-credit business has become to its overall financial structure.
The biggest opportunity and the biggest risk
The opportunity is straightforward.
If STRC maintains strong demand near $100, Strategy could potentially raise additional capital through preferred-stock issuance and use some of the proceeds to purchase more BTC.
That could create a financing cycle in which investor demand for Strategy's preferred securities helps support additional Bitcoin accumulation.
But there is a cost.
A 12% annualized dividend is expensive capital. If Strategy raises billions through STRC, it also increases its ongoing dividend obligations.
If Bitcoin prices weaken significantly, market confidence could deteriorate again. STRC could fall below par, making additional issuance less attractive and potentially forcing Strategy to rely more heavily on its USD reserves or other financing options.
There is also an important structural distinction: STRC is not directly collateralized by Strategy's Bitcoin holdings. Preferred shareholders have a preferred claim on residual company assets, but they do not own a direct claim over a specific pool of Bitcoin.
Therefore, investors should not treat STRC as equivalent to holding BTC or as a risk-free income instrument.
What I am watching next
For me, the $100 level is the most important psychological and financial reference point for STRC.
If it consistently holds around par, trading demand remains healthy, and Strategy can issue new shares on attractive terms, the company may regain more flexibility to expand its Bitcoin treasury.
I would also monitor the following developments:
- Whether STRC can maintain its price around $100 without relying heavily on company repurchases.
- Whether Strategy resumes preferred-stock issuance through its ATM program.
- Whether the 12% dividend rate remains attractive enough to maintain investor demand.
- Whether Strategy continues increasing its USD reserve and managing its dividend obligations.
- Whether new capital is actually directed toward Bitcoin purchases rather than other financial commitments.
My final perspective
STRC recovering to $99.95 is an important development because it suggests that investor confidence in Strategy's preferred-stock financing structure may be improving.
But the real test is sustainability.
A temporary move toward par is encouraging. A stable market around $100, supported by genuine investor demand rather than continuous corporate buybacks, would be much more meaningful.
If that happens, Strategy could have more room to access capital markets and potentially finance another phase of Bitcoin accumulation.
The bigger story is not simply that STRC is recovering. It is that Strategy is trying to build a financing system around Bitcoin that can attract different types of investors while continuing to expand its digital-asset treasury.
STRC's return toward par could become an important signal for Strategy's next capital-raising cycle. The next step depends on whether market demand can sustain that recovery.
