MSTR's 48% Rally Isn't Just "Bitcoin But Leveraged", Here's the Actual Structure

Strategy has surged roughly 48 percent over the past month, closing at 153.73 today and touching highs near 153.85, making it the best performer in the Nasdaq 100 over that stretch while Bitcoin itself rose a comparatively modest 12 percent over the same period. The stock closed above 150 on Friday alongside Bitcoin's push to around 82,000 dollars, and trading volume has been genuinely remarkable, with August sessions seeing 46 to 49 million shares change hands, regularly outpacing Berkshire Hathaway's daily volume, a crossover that first emerged late last year and has continued through this year.

The company currently holds 845,050 BTC, representing close to 4 percent of total Bitcoin supply, with a cumulative cost basis reported around 63.73 billion dollars. Simply calling this "leveraged Bitcoin exposure" undersells what's actually going on here, and understanding the real mechanics matters if you're trying to figure out whether this rally has room to continue.

The framework Strategy itself uses to describe its own structure

According to the company's own investor materials, Strategy frames itself around a concept called Net Reserve, essentially its Bitcoin holdings valued at market price, plus a separate USD Reserve intended to support preferred stock dividends and debt interest, minus outstanding debt and preferred stock obligations. As of recent disclosures, that Net Reserve figure sat around 36.68 billion dollars after deducting roughly 6.75 billion in debt and 15.24 billion in preferred stock obligations. Common shareholders hold a residual claim on this Net Reserve, meaning they benefit when Bitcoin appreciates and the company successfully grows its per-share reserve, but they also sit last in priority if things go the other way, and they bear the full brunt of Bitcoin's volatility on top of that structural leverage.

This is the part that explains why MSTR can move so much more sharply than Bitcoin itself in either direction, it's not simply holding Bitcoin, it's a capital structure with debt and preferred equity sitting ahead of common shareholders, which mechanically amplifies both gains and losses for the common stock specifically.

The "Digital Credit" engine adding another layer

Strategy has also built what it calls a Digital Credit business, targeting annual issuance equal to roughly 10 to 20 percent of its Bitcoin reserve value when market conditions are favorable. This involves regularly repurchasing and reissuing different classes of preferred stock, STRC, STRK, STRD, and STRF among them, as part of an active capital markets operation layered on top of the core Bitcoin holding strategy. The company reportedly raised 17 billion dollars in under seven months through this program, and continues actively managing this alongside its USD Reserve and USD Cash balances, which sat around 5.10 billion and 1.30 billion dollars respectively as of mid-September.

Why this matters for the "can this rally last" question

Wall Street's current read is notably bullish, with firms including B. Riley, Canaccord, Barclays, and Bernstein maintaining positive ratings, price targets ranging from 160 to 350 dollars, and an average target reportedly sitting around 230.83. One newer entrant, Alliance Global, initiated coverage at a 217 dollar target specifically citing the company's Bitcoin holdings and its potential to outperform Bitcoin itself during a projected six-to-eighteen-month bull run, while at least one other analyst has floated a 400 dollar target on a 12-to-16-month horizon.

The company's operating business is also showing genuine growth alongside the Bitcoin strategy, with software revenue reportedly up 6.9 percent year over year and subscription services revenue up 54 percent, a reminder that Strategy still runs an actual operating company underneath its Bitcoin treasury strategy, even though that operating business is a much smaller piece of the overall valuation story.

Possible bullish scenario

If Bitcoin continues its current uptrend and Strategy keeps executing its Net Reserve growth and Digital Credit strategy effectively, the structural leverage embedded in MSTR's capital structure could continue amplifying gains for common shareholders beyond Bitcoin's own percentage moves, which is exactly the dynamic that's played out over the past month. CEO Phong Le has reiterated the company's intent to remain a long-term Bitcoin accumulator, reinforcing the core thesis analysts are pricing into their targets.

Possible bearish scenario

That same structural leverage cuts both ways, common shareholders sit last in the capital stack behind debt and preferred stock, and dilution risk remains real given the company's ongoing capital markets activity, including its MSTR stock offering program with billions still available for issuance. If Bitcoin experiences a sharp pullback, MSTR's decline could meaningfully exceed Bitcoin's own percentage move given this embedded leverage, exactly the dynamic that made this rally so much larger than Bitcoin's 12 percent move over the same period.

What to watch

Whether Strategy continues its pattern of using Bitcoin sales or MSTR stock proceeds to fund preferred stock distributions and repurchases is worth tracking, since it reflects how actively the company is managing its capital structure in either direction. The company's periodic Bitcoin holdings updates and any changes to its Net Reserve figure are the clearest way to track the core thesis directly, independent of short-term stock price movement.

Important risks

MSTR's structural leverage means it can materially underperform Bitcoin on the downside just as it's materially outperformed on the upside recently, and treating it as a simple proxy for Bitcoin exposure misses this asymmetry. Ongoing share issuance and the company's active capital markets operations also introduce dilution considerations that don't apply to holding Bitcoin directly.

My overall view

The 48 percent move against Bitcoin's 12 percent gain over the same period is a direct illustration of the leverage built into Strategy's capital structure, debt and preferred stock ahead of common equity means common shareholders get an amplified version of Bitcoin's move, for better or worse. The current analyst optimism is grounded in real, disclosed metrics, Net Reserve, Bitcoin holdings, and capital markets execution, but the same structure that's driving this rally is exactly what would drive a sharper decline if Bitcoin's trend reverses.
