SEC Takes Action Against ISS

The U.S. SEC has filed a subpoena enforcement action against Institutional Shareholder Services (ISS), seeking a court order to compel the firm to provide documents requested in an ongoing investigation.
According to the SEC, ISS has not fully complied with an administrative subpoena issued on July 21, 2026.
The requested information relates to ISS’s proxy recommendations and voting activities and is being examined as part of the SEC’s broader oversight.
⚠️ Important: The SEC has not concluded that ISS violated federal securities laws. The investigation remains ongoing.
A reminder that regulatory investigations can become serious when requested records are not fully provided.

The reminder is spot-on—failing to comply with the records request will indeed escalate the investigation. Institutions, wise up and don’t be so hard-headed.

The proxy voting space is murky, so it’s no surprise that ISS, as an industry giant, is under scrutiny. But a subpoena issued in July 2026 is only being enforced now—why did it take so long?

ISS refuses to provide the documents, so the SEC goes straight to court—this storyline feels familiar. The power struggle between regulators and institutions is becoming increasingly public.
