Strategy Shares Break $135: A Structural Shift or Just Another Rally?

Strategy Inc. (NASDAQ: MSTR) delivered one of its strongest moves in months on August 27, 2026, closing at $137.39 after reaching an intraday high near $139.77. The move pushed MSTR above the psychologically important $135 area, but the following session delivered a sharp reality check: on August 28, the stock fell 7.34% to close at $127.29.

That makes the current setup more interesting—not less.

The real question is no longer whether MSTR can break above $135. It already did.

The question is whether MSTR can reclaim and hold that level after the August 28 pullback.

1. Why the $135 Break Mattered

For much of the recent recovery, MSTR had been trapped beneath a series of resistance levels while Bitcoin struggled to regain momentum.

The August 27 session changed that structure.

MSTR opened at $126.77, climbed to approximately $139.77, and closed at $137.39, gaining about 11.5% on the day. Trading volume reached roughly 38.2 million shares, making the move significantly more meaningful than a low-volume breakout.

A breakout through a major resistance zone can signal a shift in market positioning because traders who previously sold into resistance may begin buying back their positions.

But there is an important distinction:

Breaking resistance is bullish. Holding the breakout is confirmation.

That distinction became critical on August 28.

2. From June Weakness to August Recovery

MSTR's recent journey has been dramatic.

In late June, the stock fell to the low-$80s. Historical data shows MSTR reached an intraday low around $81.81 on June 26 and closed at $82.31.

From there, the structure gradually improved.

The stock spent July and early August building a base before accelerating alongside Bitcoin's recovery.

Key stages of the move included:

- June 26: MSTR reached an intraday low near $81.81.

- July: The stock began forming a broader recovery base.

- Early August: MSTR continued consolidating before momentum improved.

- August 19 onward: Bitcoin's recovery helped accelerate MSTR's upside momentum.

- August 27: MSTR closed at $137.39, after reaching approximately $139.77 intraday.

- August 28: MSTR reversed sharply and closed at $127.29, down approximately 7.34%.

The important lesson is that the rally has been powerful, but the trend has not yet completely repaired the damage from the earlier decline.

MSTR is still a highly volatile Bitcoin-linked equity rather than a conventional technology stock.

3. The Technical Picture

3.1 $135 Has Become the Key Battlefield

The $135 region is now the most important short-term level.

Before the breakout, traders viewed $135 as resistance.

After the breakout, the market is testing whether that same area can become support.

This is the classic resistance-to-support transition.

If MSTR can reclaim $135 and remain above it on a closing basis, the August 27 breakout becomes significantly more credible.

If the stock repeatedly fails below $135, the breakout risks becoming a false breakout.

The August 28 close at $127.29 means the market has already entered the retest phase.

4. Key Price Levels

Resistance

- $135: First level that must be reclaimed.

- $139–$140: August 27 breakout high / immediate resistance zone.

- $145: Next major upside reference.

- $150: Psychological resistance and potential momentum target.

Support

- $127–$125: Current short-term support region.

- $123: Important previous breakout area.

- $118–$117: Deeper structural support
.
- Below $117: The current bullish recovery structure would face serious technical damage.

The most important sequence is therefore:

$127 → $135 → $140 → $145 → $150

For the bears:

$127 → $123 → $118 → $117

5. August 28 Changed the Short-Term Setup

The biggest mistake would be to analyze August 27 in isolation.

The August 28 session matters just as much.

After opening around $134, MSTR briefly traded above $135 before selling off sharply and finishing at $127.29.

That tells us that sellers remain active around the $135–$140 region.

In other words:

The breakout has not been confirmed yet.

A stronger signal would be a recovery back above $135 followed by a sustained move through $140 on expanding volume.

Until then, traders should treat the August 27 move as a breakout attempt rather than a completed trend reversal.

6. Volume Is Sending a Mixed Message

August 27 produced approximately 38.2 million shares of volume, according to historical market data.

High volume during an upside breakout is generally constructive because it demonstrates that buyers are willing to transact aggressively at higher prices.

But high-volume selling immediately afterward deserves equal attention.

The August 28 decline showed that sellers were still willing to defend the $135–$140 region.

Therefore, the next high-volume move may provide the clearest signal:

High-volume break above $140 = bullish confirmation.

High-volume break below $125–$123 = increasing bearish risk.

7. Strategy's Bitcoin Treasury Changes the Equation

MSTR cannot be analyzed like an ordinary software company.

Strategy's balance sheet is heavily influenced by Bitcoin.

As of August 23, 2026, Strategy reported holdings of 840,447 BTC, with an aggregate purchase price of approximately $63.36 billion and an average purchase price of approximately $75,385 per BTC.

This means Bitcoin's price has a direct and substantial influence on the economic value investors associate with MSTR.

But MSTR is not simply a leveraged Bitcoin ETF.

Its valuation also reflects:

- Bitcoin holdings

- Debt

- Preferred stock

- Equity issuance

- Financing costs

- Treasury strategy

- Liquidity

- Future Bitcoin acquisition capacity

- Investor demand for its capital-markets model

That is why MSTR can outperform Bitcoin during strong rallies—and underperform dramatically when Bitcoin momentum reverses.

8. A Major Capital-Structure Update

One important correction to the earlier analysis is the company's cash position.

As of August 23, 2026, Strategy reported:

USD Reserve: $5.10 billion

USD Cash: $1.59 billion

Together, these represented approximately $6.69 billion of USD assets.

The distinction matters.

The USD Reserve is primarily designated to support preferred-stock dividends and interest on outstanding debt.

The newly established USD Cash pool is more flexible and can potentially be used for Bitcoin acquisitions, share repurchases, preferred-stock repurchases, debt-related purposes and other corporate needs.

This gives Strategy additional flexibility during periods of market volatility.

9. Strategy Raised More Than $2 Billion Through MSTR Sales

Between August 17 and August 23, Strategy sold 18,261,118 shares of MSTR and generated approximately $2.0065 billion in net proceeds.

The company allocated:

- $136.4 million toward STRC preferred-stock repurchases.

- $300 million to increase the USD Reserve.

- The remaining proceeds toward the newly established USD Cash liquidity account.

Importantly, Strategy did not purchase or sell Bitcoin during that week, leaving its holdings at 840,447 BTC.

This is an important development because it shows that Strategy is currently prioritizing liquidity and capital-structure flexibility rather than automatically converting every dollar raised into Bitcoin.

10. What This Means for MSTR Investors

The market is effectively balancing two forces.

Bullish Force

Bitcoin has recovered strongly, Strategy continues to control one of the world's largest corporate Bitcoin treasuries, and the company has built substantial liquidity.

If Bitcoin continues higher, MSTR could receive another wave of momentum because investors may once again place a premium on its Bitcoin exposure and capital-markets strategy.

Bearish Force

MSTR remains extremely sensitive to Bitcoin volatility.

The stock's sharp reversal on August 28 demonstrates that investors are still willing to sell aggressively at higher levels.

Additionally, continued issuance of MSTR shares can create dilution for existing shareholders, even though the capital raised can strengthen Strategy's balance sheet and expand its strategic flexibility.

Therefore, the bullish thesis cannot simply be:

Bitcoin goes up → MSTR goes up.

The real equation is much more complicated.

11. The Next 30–90 Days

Bullish Scenario

The strongest setup would be:

MSTR reclaims $135

MSTR breaks $140

MSTR holds $140 as support

Targets $145 and $150

A sustained move above $150 would significantly improve the technical structure and could attract additional momentum traders.

For this scenario to remain credible, Bitcoin would also need to maintain its recovery and avoid a sharp breakdown.

Neutral Scenario

MSTR remains trapped between approximately $123 and $140.

This would suggest that the market is still digesting the recent rally.

Such consolidation would not necessarily be bearish.

In fact, another period of sideways trading could create the foundation for a stronger breakout if volume contracts during the consolidation and expands during the eventual move higher.

Bearish Scenario

The risk increases if:

$135 fails to be reclaimed

$127 breaks

$123 fails

$118–$117 becomes exposed

A sustained break below $117 would seriously weaken the current recovery structure and could indicate that the August rally was primarily a short-term rebound rather than the beginning of a larger trend reversal.

12. The Most Important Signals to Watch

1. Bitcoin

Bitcoin remains the most important external variable for MSTR.

If BTC continues higher, MSTR's upside momentum can strengthen.

If Bitcoin suddenly reverses, MSTR can decline much faster.

2. MSTR at $135

This is the immediate technical test.

Above $135 = recovery attempt strengthens.

Below $135 = breakout remains questionable.

3. MSTR at $140

A clean break above $140 would be more convincing than the initial move through $135.

It would show that buyers are willing to absorb the supply that appeared near the August 27 high.

4. Volume

Price alone is not enough.

A breakout supported by strong volume is generally more credible than a breakout occurring on weak participation.

5. Strategy's Capital Allocation

Investors should monitor whether future capital raised through MSTR sales is directed toward Bitcoin purchases, liquidity, preferred-stock management, debt-related obligations or other corporate purposes.

The allocation of capital can materially affect the future MSTR investment thesis.

13. Final Verdict

The August 27 move was significant—but the August 28 reversal prevents us from calling it a confirmed structural breakout.

MSTR successfully moved above $135 and reached approximately $139.77, demonstrating powerful buying interest.

But one day later, the stock closed at $127.29.

That means the market is now asking a much more important question:

Can MSTR reclaim $135 and turn it into support?

If the answer is yes, the next major battle will be around $139–$140, followed by $145 and $150.

If the answer is no, the market could revisit $125, $123 and potentially $118–$117.

The Bitcoin treasury remains the foundation of Strategy's investment story, while its expanding liquidity and capital-markets operations give the company additional flexibility. At the same time, dilution, financing obligations and Bitcoin volatility remain significant risks.

So the message is simple:

$135 is no longer just a resistance level.

It is now the test that determines whether this rally becomes a genuine trend reversal—or another temporary recovery.
