Strategy Breaks $135 — But the Real Trade Is in the NAV Premium, Not the Headline Price
Strategy shares have surged through the $135 level for the first time in 12 weeks, gaining roughly 10% intraday as Bitcoin strength once again fuels enthusiasm around leveraged BTC exposure. The company is also sitting on approximately $4 billion in unrealized Bitcoin gains, creating a powerful bullish narrative.
But headline momentum can be misleading.
The real question for investors is not simply whether Strategy shares can continue rising. The more important question is whether the current market valuation is supported by sustainable balance-sheet efficiency—or whether investors are paying an increasingly dangerous premium for leverage.
That is where the NAV premium becomes critical.
Premium to NAV: The Most Important Number to Watch
Strategy is more than a Bitcoin proxy. Investors often pay a premium above the company's underlying Net Asset Value because they are buying access to embedded leverage, capital markets expertise, and continued Bitcoin accumulation.
However, a premium can become dangerous when enthusiasm outruns fundamentals.
If shares trade 20%, 30%, or even 40% above NAV, investors are no longer simply buying Bitcoin exposure. They are paying extra for leverage and future execution. If market sentiment turns risk-off, that premium can compress rapidly—even if Bitcoin itself remains relatively stable.
That creates a major structural risk: Strategy shares could fall significantly faster than BTC during a premium reset.
$4 Billion in Unrealized Gains Is Powerful—But Not Risk-Free
The massive unrealized Bitcoin gains strengthen the company's financial position on paper, but unrealized profits are still highly dependent on market prices.
A sharp Bitcoin correction could reduce asset values quickly and increase pressure across leveraged positions. This is why monitoring the loan-to-value ratio remains essential.
A lower LTV provides a stronger collateral buffer. A rapidly rising LTV, however, increases vulnerability during volatility. Investors should not assume that strong Bitcoin gains automatically eliminate balance-sheet risk.
Share Issuance Can Be Both a Strength and a Dilution Risk
Strategy has historically used its market premium to raise capital and acquire additional Bitcoin. This strategy can be highly effective when shares trade significantly above NAV.
But there is an important metric investors often ignore: Bitcoin exposure per share.
If the company issues shares aggressively and the growth in outstanding shares exceeds the growth in Bitcoin holdings per share, existing shareholders may experience economic dilution even while total corporate BTC holdings continue increasing.
The key comparison is simple:
Share count growth vs. Bitcoin holdings per share.
Total Bitcoin accumulation alone does not tell the complete story.
Interest Costs Could Become a Long-Term Drag
Leveraged Bitcoin acquisition is not free.
Debt and preferred financing carry ongoing interest or dividend costs. If the economic return generated by the underlying assets fails to exceed financing costs over time, the NAV advantage can gradually weaken.
This makes effective borrowing costs, interest coverage, and capital structure efficiency essential parts of the investment thesis.
My Premium-Aware Strategy Framework
Before chasing a breakout, I would focus on these signals:
Bullish Setup
- NAV premium below approximately 25%
- LTV ratio below 50%
- Share issuance slowing or remaining disciplined
- Bitcoin holdings per share continuing to improve
- Financing costs manageable relative to long-term BTC appreciation
Major Red Flags
- NAV premium above 40%
- Rapid leverage expansion
- Aggressive dilution
- Rising financing costs
- Share price outperforming underlying NAV too aggressively
The $135 breakout is undeniably important, but price momentum alone does not create a sustainable edge.
The smarter approach is to monitor the relationship between share price, Bitcoin value, NAV premium, leverage, dilution, and financing costs.
Bitcoin may drive the headline—but NAV efficiency determines the quality of the trade.
In leveraged BTC equities, the best opportunities often appear when fear compresses the premium—not when excitement pushes it to extremes.
