## Fund Structure: A Convertible Bond as a Security Mechanism
At the core of this initiative is SonicStrategy, a company listed on the Canadian Securities Exchange (CSE) operating as a regulated intermediary. Sonic Labs made a substantial contribution to the fund through a convertible bond equivalent to approximately 126 million S tokens, valued at $40 million at the time of the transaction.
This structure does not represent a direct transfer of assets but a convertible loan instrument subject to meeting specific milestones. A successful "uplisting" to U.S. markets is one of these key requirements. Until this event occurs, SonicStrategy is legally prevented from selling or redistributing the associated tokens. In case of non-compliance within the established timeframe, all assets would revert to Sonic Labs for elimination, thus ensuring the integrity of the token supply.
## Independent Governance and Pure Accumulation Philosophy
SonicStrategy operates under independent leadership, with Dustin Zinger as CEO. Since its inception, the organization has raised approximately $9 million from external investors, resources dedicated exclusively to purchasing S tokens on open markets.
The company maintains a declared stance of never having executed any sale of S tokens, demonstrating a strategy focused on sustained accumulation. This approach results in gradual increases in the proportion of assets per share, positioning SonicStrategy as a permanent participant in long-term growth. Additionally, the organization runs validators on the Sonic network, directly contributing to decentralization and security robustness, creating a bidirectional alignment between on-chain participation and public incentives.
## Realistic Adaptation to Adverse Market Conditions
The initial implementation schedule for the DAT faced delays due to broad industry transformations. Risk appetite and complex regulatory variables disrupted the projected acceleration. In response, Sonic Labs and SonicStrategy extended the convertible obligation to a three-year horizon, preserving strategic objectives while allowing operational flexibility.
