Governance V2 moved the governance logic that had previously been embedded directly in the XAN token to an independent DAO governance contract. XAN holders can propose or vote on changes to the token protocol's supply, functionality, treasury, and governance settings; the focus of this change is to have proposals, voting, and execution operate through dedicated governance contracts. Voting power is counted only after delegation has been completed. Holders can delegate voting power to themselves to vote directly, or delegate it to other addresses; delegation can be changed or revoked.

A standard governance proposal takes about 35 days from creation to execution. Creating a proposal requires holding at least 25,000 XAN; this is followed by a 7-day review period, during which voting has not yet begun and the community can read and discuss it. After the review period ends, there is 14 days of on-chain voting, with votes for, against, or abstention. A proposal must meet two conditions: at least 10% of the voting supply must participate, and votes for must exceed votes against. Once passed, it also enters a 14-day timelock; after the wait ends, any address can trigger execution, so execution does not depend on a particular privileged party deciding whether to act.

XAN previously locked in Governance V1 unlocks linearly over three years beginning at 12:00 UTC on September 29, 2026. Linear unlocking means it does not all become claimable at once on a particular day; instead, beginning at the start time, it vests gradually in equal proportions over time, and holders can claim the portion that has vested during this period. This arrangement applies only to balances locked under V1. A balance not yet being fully unlocked does not mean governance rights are lost: the official statement says voting power is still calculated on the full balance, including both vested and unvested portions.

The Governance V2 timelock is a 14-day waiting period before a passed proposal takes effect. All approved actions go through this timelock; its purpose is to give the community a publicly visible window to respond before changes actually affect the XAN token protocol, rather than allowing voting results to alter the protocol immediately. The system also has an upgrade committee solely as a fallback: when voting participation is too low for a proposal to reach quorum, this multisig can arrange critical upgrades, but its path has a 42-day waiting period, during which holders can cancel it, replace the committee, or revoke its authority. This fallback mechanism cannot block outcomes approved by holder votes.
