The announcement shows that, due to Top Group planning to list in Hong Kong and adjust its governance structure, and since the two independent directors have served nearly six years, Zhao Xiangqiu applied to resign from the positions of independent director of the fifth board of directors, chairman of the Compensation and Assessment Committee, and member of the Nomination Committee; Wang Yongbin applied to resign from the positions of independent director of the fifth board of directors, chairman of the Nomination Committee, and member of the Audit Committee. After resigning, these two independent directors will no longer hold any positions in the company.

Top Group stated that on March 6, the company held the 30th meeting of the third session of the fifth board of directors, and approved the nomination of Wang Minquan and Chen Yuehua as candidates for independent directors of the fifth board of directors, with terms from the date of approval by the shareholders’ meeting until the end of the fifth board of directors.
