格隆汇3月20日丨云南能投(002053.SZ)公布，2018年3月28日，经云南能源投资股份有限公司董事会2018年第一次定期会议审议通过，公司与控股股东云南省能源投资集团有限公司（已更名为“云南省能源集团有限公司”，简称“云南能源集团”）签署了《代为培育协议》（简称“原合同”）。

(renamed as “Yunnan Provincial Energy Group Co., Ltd.”, referred to as “Yunnan Energy Group”).
双方一致同意，云南能源集团向攀枝花川港燃气有限公司（简称“攀枝花川港燃气”）以现金方式增资扩股，通过该现金增资持有攀枝花川港燃气15%股权，并为公司代为培育暂不适合公司实施的对攀枝花川港燃气上述股权投资。
Both parties agreed that Yunnan Energy Group would increase its capital and expand its shares in Panzhihua Chuan Port Gas Co., Ltd. (referred to as “Panzhihua Chuan Port Gas”) in cash, holding a 15% stake in Panzhihua Chuan Port Gas through this cash increase, and would cultivate the aforementioned equity investment in Panzhihua Chuan Port Gas on behalf of the company, which is not suitable for the company to implement at this time.

2026年3月20日，公司董事会2026年第三次临时会议经全体非关联董事记名投票表决，以7票同意，0票反对，0票弃权，通过了《关于与云南省能源集团有限公司签署〈代为培育协议之终止协议〉暨关联交易的议案》。
On March 20, 2026, the board of directors of the company held the third interim meeting of 2026, which was voted by all non-associated directors, with 7 votes in favor, 0 votes against, and 0 abstentions, and passed the proposal on signing the “Termination Agreement of the Cultivation Agreement” with Yunnan Provincial Energy Group Co., Ltd. and the related transaction.
鉴于公司已完成以原控股子公司云南省天然气有限公司股权向云南省页岩气勘探开发有限公司增资，云南省天然气有限公司自2025年4月30日起不再纳入公司合并报表范围，上述标的资产已不符合公司业务发展需要，原合同已无继续履行的必要性，同意公司与云南能源集团签署《代为培育协议之终止协议》，原合同的内容不再执行，对双方均不再具有法律约束力，且双方互不因该等终止事宜承担任何违约责任。
Given that the company has completed the capital increase to Yunnan Shale Gas Exploration and Development Co., Ltd. through the equity of its original holding subsidiary Yunnan Natural Gas Co., Ltd., and that Yunnan Natural Gas Co., Ltd. will no longer be included in the consolidated financial statements of the company from April 30, 2025, the above-mentioned target assets no longer meet the needs of the company’s business development, there is no necessity to continue performing the original contract, and it is agreed that the company will sign the “Termination Agreement of the Cultivation Agreement” with Yunnan Energy Group, the content of the original contract will no longer be executed, and it will no longer be legally binding on both parties, and both parties will not bear any breach of contract liability for such termination matters.
