China Economic Network Beijing, March 26 - Saiteng Co., Ltd. (603283.SH) disclosed a prompt announcement regarding the rights change of shareholders holding more than 5% of shares last night, stating that the company received a notification from its shareholder, Zeng Hui, on March 25, 2026, indicating that from March 10, 2026, to March 24, 2026, he had cumulatively reduced his holdings in the company through centralized bidding and block trading by a total of 2,310,715 shares, accounting for 0.85% of the company’s total share capital. Zeng Hui’s shareholding ratio decreased from 18.85% to 18.00%, and this rights change touched the 1% scale.

During the aforementioned reduction period, the weighted average price of Saiteng Co., Ltd. was 45.49 yuan. It is calculated that Zeng Hui’s cashing out from this reduction is approximately 105 million yuan.

Saiteng Co., Ltd. stated that Sun Feng and Zeng Hui are undergoing equity division due to their divorce. As of March 24, 2026, Sun Feng directly holds 19.88% of the company’s shares, and Zeng Hui directly holds 18.00% of the company’s shares. The control of the company may change, and both parties are further negotiating subsequent arrangements. The company will fulfill its information disclosure obligations in a timely manner based on the progress of discussions between the two parties. This rights change is the fulfillment of the previously disclosed reduction plan by the shareholders and does not touch on mandatory tender offers. This reduction matter is consistent with the plans and commitments previously disclosed by the shareholders. As of March 24, 2026, this reduction plan has not yet been fully implemented.

According to the announcement of the results of the shareholders’ share reduction disclosed by Saiteng Co., Ltd. on August 14, 2025, Sun Feng reduced his holdings in Saiteng Co., Ltd. by 2,785,900 shares through block trading from May 30, 2025, to August 13, 2025, at a reduction price range of 29.48 yuan/share to 31.20 yuan/share, with a total reduction amount of 85,020,859.00 yuan. The current number of shares held is 53,916,278, and the current shareholding ratio is 19.35%.

Zeng Hui reduced his holdings in Saiteng Co., Ltd. by 1,392,820 shares through centralized bidding and by 2,785,900 shares through block trading from May 30, 2025, to August 13, 2025, at a reduction price range of 29.81 yuan/share to 33.95 yuan/share, with a total reduction amount of 129,889,751.05 yuan. The current number of shares held is 52,160,795, and the current shareholding ratio is 18.72%.

In addition, according to data from Sina Finance, Sun Feng initially held 106 million shares, accounting for 58.91% of the total share capital. Sun Feng began to reduce his holdings in Saiteng Co., Ltd. from March 26, 2021, and so far has cumulatively reduced 67,873,100 shares, cashing out approximately 717 million yuan.

Saiteng Co., Ltd.'s 2024 annual report shows that as of the end of the reporting period, the controlling shareholders and actual controllers of the company are Sun Feng and Zeng Hui. The two parties terminated their marriage on January 9, 2023, and completed the share division registration procedures on January 31, 2023. The control of the company may change, and both parties are further negotiating subsequent arrangements. The company will fulfill its information disclosure obligations in a timely manner based on the progress of discussions between the two parties.
