Beijing Business News (Reporter Wang Manlei) On the evening of March 25, Ruineng Technology (603933) announced that the company is planning to acquire control of Botai Intelligent Equipment (Guangdong) Co., Ltd. (hereinafter referred to as “Botai Intelligent”) through a combination of issuing A-shares and cash payments, as well as raising matching funds. The company’s shares will be suspended from trading starting March 26. The suspension is expected to last no more than 10 trading days.
The announcement shows that Ruineng Technology intends to acquire no more than 75% of the equity of the target company through a combination of issuing shares and cash payments to obtain controlling interest in the target company. Preliminary estimates indicate that this transaction is not expected to constitute a significant asset reorganization as defined by the “Measures for the Administration of Major Asset Restructuring of Listed Companies.” This transaction will not lead to a change in the company’s control. In addition, the audit assessment of the target company has not yet been determined, and the valuation of this transaction has not yet been established.
