Fulin Transportation: Se propone un cambio en el control de la empresa; las acciones reanudan su cotización a partir del 2 de abril

People Finance News, 1 April: On 1 April, Fu Lin Transport (002357) announced that its controlling shareholder, Yongfeng Group Co., Ltd. (hereinafter referred to as “Yongfeng Group”), and Dongyang City Dongwang Lianhang Enterprise Management Partnership Enterprise (Limited Partnership) (hereinafter referred to as “Dongwang Lianhang”) have signed the “Stock Transfer Agreement between Yongfeng Group Co., Ltd. and Dongyang City Dongwang Lianhang Enterprise Management Partnership Enterprise (Limited Partnership) concerning Shares of Sichuan Fu Lin Transport Group Co., Ltd.” Yongfeng Group intends to transfer the 56.43M shares it holds in the company (representing 18% of the company’s total share capital) to Dongwang Lianhang at a price of RMB 14.18 per share, with total consideration of RMB 800 million. Yongfeng Group further commits that within 36 months from the date of the share delivery agreed under the “Stock Transfer Agreement,” it will relinquish the voting rights corresponding to 15.6744 million of its shares held in the listed company (representing 5% of the listed company’s total share capital) out of the 37.3052 million shares it holds (representing 11.9% of the listed company’s total share capital). If this change in equity is implemented and completed, the company’s controlling shareholder will change from Yongfeng Group to Dongwang Lianhang, and the actual controller will change from Liu Feng to the State-owned Assets Supervision and Administration Office of Dongyang City (hereinafter referred to as “Dongyang City SASAC”). Upon the company’s application, the company’s shares will resume trading from the morning of Thursday, 2 April.
