People Finance News, 31 March: Baibang Technology (300736) announced on 31 March that on 27 March, the controlling shareholder Beijing Daan Century Investment Management Co., Ltd. (referred to as “Daan Century”), Beijing Yuehua Zhongcheng Investment Management Center (Limited Partnership) (referred to as “Yuehua Zhongcheng”), and Nanjing Delong Technology Group Co., Ltd. (referred to as “Delong Technology”) jointly signed a “Share Transfer Agreement.” The agreement provides that Daan Century and Yuehua Zhongcheng intend to transfer, by way of agreement transfer, 26.0134 million shares of the listed company they hold (accounting for 20.33% of the listed company’s total share capital) to Delong Technology, at an agreement transfer price of 21.88 yuan per share. After this agreement transfer, the controlling shareholder of the listed company will change to Delong Technology, and the actual controller will change to Chen Zhu. On 30 March, the company signed a “Share Subscription Agreement with Conditions Precedent” with Nanjing Xingyue Business Management Partnership Enterprise (Limited Partnership) (referred to as “Xingyue Business”); Xingyue Business intends to subscribe in cash for all 17.6549 million shares of stock issued by the company in this round. After this issuance is completed, and without considering other factors that may cause changes in the number of shares, calculated based on the proposed number of shares to be issued, Xingyue Business’ shareholding percentage will be 12.13%. Through the above transactions, Delong Technology becomes the controlling shareholder of the listed company, Xingyue Business is a concerted action party of Delong Technology, and the actual controllers of Xingyue Business and Delong Technology, Chen Zhu, becomes the actual controller of the listed company. The company has applied for its shares to resume trading from the market open on 1 April (Wednesday) in the morning.
