On the evening of April 3, Dianke Digital (rights protection) (600850.SH) issued an announcement stating that the company recently received a 《Notice of Filing for Investigation》 issued by the China Securities Regulatory Commission. Due to suspected violations of information disclosure laws and regulations, the CSRC, based on relevant laws and regulations including the 《Securities Law of the People’s Republic of China》 and the 《Administrative Penalty Law of the People’s Republic of China》, decided to officially file a case for investigation into the company.
Another announcement shows that, according to the 《Decision on Taking the Administrative Regulatory Measures of Issuing a Warning Letter to [China Electronics Digital Technology Co., Ltd.] and Hou Zhiping》 issued by the Shanghai Regulatory Bureau of the CSRC, after investigation, the company has the following facts: During the period from December 17 to December 31, 2025, in two investor relations activity records and three instances of information published on the Shanghai Stock Exchange’s E Interaction platform, the company stated that “in the satellite internet sector, Boafei Electronics mainly provides three categories of products: onboard high-performance computing, AI intelligence computing, and RF transmission” and that “in the satellite internet sector, Boafei Electronics has successfully built a domestically produced solution.”
The voluntary disclosures in the above investor relations activities were inaccurate and incomplete, and involved circumstances such as misleading statements and omissions of risk prompts, violating the provisions of Article 3, Paragraph 1, and Article 5, Paragraph 1 of the 《Measures for the Administration of Information Disclosure of Listed Companies》 (CSRC Order No. 226). Pursuant to Article 53, Item 3 of the 《Measures for the Administration of Information Disclosure of Listed Companies》 (CSRC Order No. 226), the Shanghai CSRC office decided to take an administrative regulatory measure against Dianke Digital by issuing a warning letter.
Since March 2013, Hou Zhiping has served as the company’s secretary to the board of directors and deputy general manager, and bears responsibility for the above information disclosure matters of the company, in violation of the provisions of Article 4 of the 《Measures for the Administration of Information Disclosure of Listed Companies》 (CSRC Order No. 226). Pursuant to Article 52, Paragraph 1, and Article 53, Item 3 of the 《Measures for the Administration of Information Disclosure of Listed Companies》 (CSRC Order No. 226), the Shanghai CSRC office decided to take an administrative regulatory measure against Hou Zhiping by issuing a warning letter.
Relevant materials show that China Electronics Digital Technology Co., Ltd. was established in 1993. It is a company under the China Electronics Technology Group Corporation Limited, and is a listed company engaged in digital technology-related business within the group. Its main business includes three major segments: digital products, industry digitization, and digital new infrastructure. It was listed on the Shanghai Stock Exchange on March 24, 1994, and is the first listed IT company in Mainland China.
As of the close on March 3, 2026, the share price of Dianke Digital was 22.04 yuan per share, with a market value of 14.99 billion yuan.
