Referral Program Terms Conditions

These Terms constitute a binding offer by Company to its Referrers.

By distributing a Referral Link or participating in the Referral Program, the Referrer unconditionally accepts and agrees to be bound by these Terms.

1.DEFINITIONS

The following capitalised terms shall have the meanings set forth below:

“Applicable Law” means the laws of Malta and any other laws, regulations, rules, or guidelines (including MiCA) which apply to the Parties or the Referral Program.
“General T&Cs” means the Company’s terms of use accepted by each client and governing the standard use of the Company’s platform and services.
“Qualified Referral” means a new customer who meets the criteria in Clause 3 of these Terms.
“Referral Link” means the unique tracking URL generated by the Company and assigned to a Referrer.
“Referral Program” means the initiative whereby existing customers are invited to introduce new users to the Company’s services via a unique Referral Link.
“Referral Rewards” means the non-transferable incentives, bonuses, or credits granted by the Company, to a Referrer, as a result of a Qualified Referral, as established on our website.
“Referrer” means an existing customer of the Company, who participates in the Referral Program.

2.THE OFFER

The Company will provide Referral Rewards to any Referrer who successfully introduces a Qualified Referral to the Company’s platform, subject to the conditions and compliance requirements set out in these Terms.

3.ELIGIBILITY AND ACCEPTANCE

Participation: Acceptance of this offer is deemed to occur at the moment a Referrer shares the unique Referral Link.
User Status: The Referrer must be an existing, KYC-verified client of the Company in good standing.
Jurisdiction: This offer is only valid for Referrers and referred clients residing in accepted jurisdictions, excluding any restricted jurisdictions notified by the Company.
Compliance: Eligibility is strictly subject to the Referrer acting in accordance with all Applicable Law.

4.QUALIFIED REFERRALS

A “Qualified Referral” is defined as a new customer of the Company - who:

is not a pre-existing client of the Company; and
registers an account using the unique Referral Link; and
successfully completes the Company’s full onboarding and AML/KYC procedures; and
meets the minimum activity requirements (e.g., specific deposit or trade volume).

5.CONDUCT AND PROHIBITED PRACTICES

The Referrer must adhere to all conduct requirements – namely:

Transparency: The Referrer must clearly and unambiguously disclose the relationship with the Company and that they receive a reward for the referral.
Tools: Referrers are encouraged to use only the “Invite” tools provided within the Company’s platform.
No Guarantees: The Referrer shall not make any representations or guarantees regarding returns, performance, or risks associated with crypto-assets.
No Advice: The Referrer is strictly prohibited from providing investment advice or holding themselves out as providing any regulated services.
Spam and Misleading Practices: Unsolicited communications, mass-mailing, or the use of misleading practices is strictly prohibited.

6.REFERRAL REWARDS

Nature of Reward: Rewards are determined solely by the Company as communicated from time to time.
Vesting and Eligibility: Rewards are only “earned” once the Qualified Referral remains active and the Qualified Referral completes the qualifying tasks within the allowed time window.
Right to Withhold: The Company reserves the right to withhold, defer, or claw back rewards if it suspects fraud, or a breach by the Referrer of these Terms, the General T&Cs or Applicable Law.

7.LIMITATION OF LIABILITY

Program Discretion: The Company provides the Referral Program on an "as-is" basis and may suspend or terminate the program at any time without prior notice.
Referrer Indemnity: The Referrer shall indemnify and hold the Company harmless against any regulatory fines, legal costs, or losses resulting from the Referrer’s breach of these Terms or Applicable Law.

8.AMENDMENTS AND TERMINATION

Modifications: The Company may amend these Terms at any time by posting the updated version on its website. Continued participation constitutes acceptance of the amended Terms.
Termination: The Company may disqualify any Referrer from the program immediately if they breach these Terms, provide false representations, or if their main user account is closed.

9.GOVERNING LAW AND JURISDICTION

These Terms are governed by the Laws of Malta. Any disputes arising from this unilateral offer shall be subject to the jurisdiction of the Maltese Courts or settled via arbitration in Malta under the UNCITRAL Rules.
